Under the supervision/oversight of Senior University Counsel, this position will be the primary contact regarding the contract review/monitoring process at the University and expected to work closely with the respective College/Department designees, throughout the contract review/monitoring process. This position is also responsible for facilitating the review, negotiation and approval process of contracts, including reviewing, modifying, approving and routing agreements for execution on behalf of the University. This position will be tasked with the effective and competent oversight of the four stages of the Contract Process: 1) Contracts Intake/Triage/Tracking, 2) Document Management and Electronic Data Entry, 3) Fund Setup Coordination, and 4) Contracts Closeout.

Knowledge, Skills and Abilities
Individual must possess the knowledge, as well as the following skills and abilities, and be able to perform the essential functions of the job, with our without a reasonable accommodation, using some other combination of skills and abilities.

  1. Advanced knowledge of contracting principles, including developing/drafting of contracts, negotiations, contract interpretation, research skills and conducting a contract risk assessment.
  2. Strong working knowledge of contract formation and contract administration functions.
  3. Advanced written and interpersonal communication skills and the ability to clearly and effectively provide information, which is logically and grammatically correct, to internal and external audiences in a timely manner.
  4. Excellent judgment, attention to detail, and ability to maintain strict confidentiality of sensitive and/or legally privileged information.
  5. Consistently exhibits a professional and positive attitude, demeanor and ability to establish and maintain cooperative and mutually supporting working relationships across the Colleges/Departments.
  6. High level of computer and web research proficiency, including Microsoft Office applications, database applications, etc.
  7. Strong organization, planning, analytical and problem resolution abilities.
  8. Ability to work independently with minimal supervision; prioritize and consistently complete tasks while working under deadlines in a fast-paced environment.
  9. Ability to consistently and reliably respond to voicemails, emails and other correspondences in a timely fashion.

Required Qualifications
Education: Bachelors Degree, J.D. degree,
Experience: Three to five years’ experience in reviewing, revising, negotiating and developing/drafting contracts; making complex administrative decisions, interpreting and applying rules, regulations, policies and/or procedures to contract principles.
Licenses: Active California State Bar membership; or eligible to practice under the Registered In-House Counsel Program.

Preferred Qualifications
Experience working in health-care/managed-care setting and with related contracts

List comments regarding work hours
8:00am – 5:00pm, Mon-Friday; some weekends and evenings. Travel may be required.

Essential Job Duties
Job Duty

Effectively assist University/College Administrators in the development of specific contract proposals and/or agreements, an appropriate overall contract strategy, and/or programmatic review of the applicable terms/conditions;

Review, and negotiate terms and conditions of contracts/agreements and ensure appropriate modifications are incorporated;

Serve as a liaison between internal and external parties during contract development and negotiation stages;

Effectively coordinate necessary actions with appropriate departments and General Counsel (or designee) according to competing, fast-paced and deadline driven environment;

Ensure compliance with applicable state/federal law and University policies and procedures;

Ensure contracts/agreements are accurately executed/satisfied and completion of any necessary follow-up/tracking of applicable terms/conditions (i.e. receipt/satisfaction of payments, document submissions, etc. );

Monitor contracts/agreements to ensure compliance with terms/conditions, applicable laws and University policies/procedures;

Supervise the organization and maintenance of all records related to contracts/agreements, including an electronic data base.

Analyze and report potential risks that contract changes may pose to the organization to designated University administrators and/or General Counsel (or designee), as appropriate;

Create, facilitate, and manage a training resource for the Campus Community related to contracts, negotiations, best practices, etc.

Develop concise language standards and rules for existing and new contracts, including the creation of templates, policies/procedures, instructional guides and/or training programs for staff/faculty;
