Vanderbilt University is seeking an Associate General Counsel experienced in health law transactions, health law regulatory matters, and general corporate issues. The Associate General Counsel will provide legal support on provider affiliations, mergers and acquisitions, joint ventures, innovative health care delivery models and transactions, fraud and abuse issues, Medicare reimbursement issues, regulatory enforcement and compliance, general corporate maintenance and compliance issues, and hospital and general healthcare operations.

An understanding of the complexities of an academic medical center and the issues that exist in schools of medicine, nursing, and university or teaching hospitals is a plus. General Responsibilities:

• Assist in drafting and reviewing contracts and other legal documents for compliance with state and federal laws as well as University policies, including as a liaison working directly with various contracting offices across the University.

• Assist in drafting documents and advising the Medical Center on complex transactions.

• Confer with Vanderbilt employees on matters involving legal interpretation and decisions related to operations and policy questions; engage in training activities, including corporate board training, and fraud and abuse education.

• Engage and manage outside counsel to represent Vanderbilt University.

• Staff key work groups and committees in areas of practice as assigned, including attendance at board meetings and other related activities, as a legal advisor.

• Provide guidance and assistance to other colleagues in the Office of General Counsel in a highly collaborative fashion.

Qualifications:

• JD degree. Employment contingent upon State of Tennessee licensure or registration and receipt of In-House Counsel Practice Certificate. The successful candidate must also apply for and become licensed in the State of Tennessee within 12 months of employment.

The Health Law and Medical Center Services practice group advises the University on health law matters affecting the institution’s academic medical centers, health sciences schools, and other clinical operations. The University’s academic medical centers form a nearly $7 billion enterprise, operating premier quaternary medical centers throughout the State; its health sciences education system is the country’s largest, with more than 14,000 students enrolled in 18 professional schools and programs; and it is among the largest recipients of NIH research support in the United States.

This position, based in Oakland, California, counsels a diverse range of clients that includes Oakland and campus-based administrators and faculty members responsible for operation of the University’s clinical enterprise. Responsibilities include a broad variety of legal assignments that require knowledge of federal and state health care laws and regulations including, for example, the federal Anti-Kickback Statute, the Stark Law, CMS and OIG regulations and guidance, state corporations law, and more. A wide range of types of experience, such as litigation, transactions and policies and advice, and subject matters of knowledge and experience, across public and private areas of the law, is desirable.


Qualifications

A Juris Doctor degree from an ABA accredited law school and a license to practice in the State of New York (or acquisition of such within one year of hire). At least fifteen years of legal experience required. Management experience in an office of attorneys is highly desirable. Preferred experience would include serving as in-house counsel with a higher education institution, major research or other non-profit organization, or New York or other similar governmental entity. Preferred qualifications also include extensive speaking and writing experience with excellent speaking and writing skills as well as exceptional executive, analytical, and communication abilities.

General Overview

1. assuring that the University is in compliance with Title IX legislation, regulation, and case law and maintain appropriate documentation to demonstrate Title IX compliance;

2. developing and providing University-wide education and outreach related to Title IX and, specifically, sexual harassment/violence;

3. developing, delivering and managing a train-the-trainer program designed to educate schools and department based individuals who have local responsibility for ensuring that faculty, staff and students are well informed about relevant policies, resources and responsibilities;

4. coordinating and executing in a timely manner the University’s response and investigation to alleged violations of Title IX, including but not limited to the University Sexual Assault Investigative Board (USAIB) procedures.


Primary Duties and Responsibilities

1. Play a lead role in ensuring that the University is in compliance with Title IX legislation, regulations, and case law.

2. Conduct outreach and education related to Title IX for faculty and staff. This will require development of and/or utilization of existing programs designed for faculty and staff. Programs will need to be targeted toward a variety of populations, including but not limited to, faculty and staff in leadership roles, those with supervisory responsibility, and those whose day-to-day responsibilities include working closely with students. In conjunction with the Office of Human Resources’ learning and development resources, develop, conduct and manage a train-the-trainer program focused on education/training on Title IX and related policies that is designed to have broad outreach throughout the University; ensure that the commitment to a safe and respectful learning, working and living environment is the consistent theme; develop and conduct annual re-certification of those designated in each school/department with Title IX lead responsibilities for local training.

3. Conduct outreach and education related to Title IX and sexual harassment/violence specifically designed for undergraduate, graduate and professional school students, working closely with the staff in the Danforth and WUSM student services areas; through the train-the-trainer model and other collaborations, ensure that programs, communications, and messaging are consistent with policies and regulations and the commitment to a safe and respectful learning, working and living environment; ensure that efforts based within various schools and departments are coordinated with University-wide efforts, for example, use of web sites and training programs focused on specific populations.

4. In collaboration with the Office of Human Resources learning and development resources, those in student services areas and those with responsibilities related to international students and international student groups, develop/expand orientation and training programs and communications to include material and discussion of sexual harassment and sexual violence, cultural differences, commitment to a safe and respectful learning, working, and living environment. A similar focus and approach is to be applied toward various student groups, including but not limited to LGBT, Greek Life, and Athletic communities.

5. Coordinate and execute, in a timely manner, the University’s response and investigation to alleged violations of Title IX, including implementation of the University Sexual Assault Investigative Board procedures, ensuring that USAIB board members are trained, required timelines for investigations and resolutions are met, available options and grievance procedures are conveyed to reporting parties an/or victim complainants as well as accused faculty, staff or students, and, that records are maintained appropriately.
